Terms of Service

1. Acceptance of Terms

By accessing or using EyeSights ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

EyeSights is a social media content management platform designed specifically for optometry practices. Our Service provides:

  • AI-generated social media content tailored to eye care practices
  • Content scheduling and calendar management
  • Multi-platform publishing to Instagram, Facebook, Twitter, WordPress, and Google Business Profile
  • Brand management and customization tools
  • Analytics and engagement tracking
  • Content approval workflows

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal authority to bind your organization to these Terms.

4. Third-Party Platform Integrations

4.1 Social Media Connections

Our Service integrates with third-party platforms including Meta (Facebook/Instagram), Twitter (X), WordPress, and Google (Google Business Profile). By connecting these platforms, you:

  • Authorize EyeSights to access your accounts on these platforms
  • Grant permission to publish content on your behalf
  • Acknowledge that your use of these platforms is also subject to their respective terms of service
  • Accept responsibility for ensuring your content complies with each platform's policies

4.2 Google API Services

EyeSights uses Google API Services, including the Google Business Profile API. Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Google Business Profile Data Usage:

  • We access your Google Business Profile to publish posts and updates on your behalf
  • We collect location information to identify which business locations you want to manage
  • We store access tokens securely to maintain your connection
  • We retrieve analytics data (views, clicks, engagement) to display in your dashboard
  • We do not share your Google data with third parties except as necessary to provide the Service
  • You can disconnect your Google account at any time through your account settings

4.3 Meta (Facebook/Instagram) Integration

When you connect your Facebook or Instagram accounts:

  • We access your business pages and Instagram professional accounts
  • We publish content and retrieve engagement metrics on your behalf
  • We comply with Meta's Platform Terms and Developer Policies

5. User Content

5.1 Your Content

You retain ownership of all content you upload, create, or submit through the Service ("User Content"). By using the Service, you grant EyeSights a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of providing the Service.

5.2 AI-Generated Content

Content generated by our AI tools is provided for your use in managing your social media presence. You are responsible for reviewing and approving all AI-generated content before publication. EyeSights does not guarantee that AI-generated content will be error-free, appropriate for all contexts, or compliant with all regulations.

5.3 Content Restrictions

You agree not to upload or publish content that:

  • Violates any applicable law or regulation
  • Infringes on intellectual property rights of others
  • Contains false or misleading health claims
  • Includes Protected Health Information (PHI) without proper authorization
  • Is defamatory, obscene, or harmful
  • Violates the terms of connected social media platforms

6. Subscription and Payment

6.1 Subscription Plans

Access to certain features requires a paid subscription. Subscription details, including pricing and features, are available on our website and in your account dashboard.

6.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred.

6.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

6.4 Free Trial

We may offer free trial periods. At the end of a trial, you will be automatically enrolled in a paid subscription unless you cancel before the trial ends.

7. Intellectual Property

The Service, including its original content (excluding User Content), features, and functionality, is owned by EyeSights and is protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • AI-generated content will be accurate, complete, or suitable for your needs
  • Third-party platform integrations will always function correctly
  • The Service will meet all regulatory requirements for your practice

You are responsible for ensuring your use of the Service complies with applicable laws and professional regulations, including but not limited to advertising regulations for healthcare providers.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EYESIGHTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Reputational harm
  • Damages resulting from third-party platform changes or outages

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless EyeSights, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any rights of another party

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and User Content
  • Provisions that should survive termination (including intellectual property, disclaimers, limitations of liability) will remain in effect

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EyeSights regarding the Service and supersede any prior agreements.
